Terms of service

These terms govern all offers and agreements of Solazur SRL, except where a signed agreement states otherwise.

1. Identity

2. Offers and engagement

Offers are valid for 30 days unless stated otherwise. An engagement starts upon written confirmation of the proposal. Fixed-price engagements cover the scope described in the proposal; changes are agreed in writing before extra work starts.

3. Fees and payment

Invoices are payable within 30 days. Advisory engagements are invoiced as agreed in the proposal; recurring services monthly in advance. Late payment legally accrues interest and costs under Belgian law on payment arrears.

4. Cooperation

Deliverables depend on timely access to people, systems and information described in the proposal. Delays caused by missing cooperation may shift timelines and, where substantial, costs.

5. Intellectual property

Upon full payment, deliverables created specifically for the client transfer to the client. Methods, frameworks and pre-existing materials remain Solazur's, with a usage right for the client where embedded in deliverables.

6. Confidentiality

Both parties keep each other's non-public information confidential, also after the engagement ends. Reference use (client name and a general description) requires consent.

7. Liability

Solazur's total liability per engagement is limited to the fees paid for that engagement. Solazur is not liable for indirect damage such as lost profit or data loss caused by third-party systems. Nothing limits liability for fraud or wilful misconduct.

8. Law and forum

Belgian law applies. Disputes go to the courts of Brussels, after a genuine attempt to resolve them directly.
